People still search for a "MISA license", and banks, partners and older guides still use the term. This guide explains what changed, what the registration involves, which documents investors usually prepare, and what must happen after registration before a company can operate.
From MISA license to MISA investment registration
The Investment Law and its Implementing Regulations replaced the old licensing model with registration. Investors register before starting an investment activity, one registration can cover several eligible activities, and the registration is kept current through an annual update. Minimum capital and other conditions still apply to certain activities.
Because terminology and procedures continue to evolve, we confirm the current procedure with the official MISA sources for every investor and activity before preparing a file.
Who needs to register with MISA?
- Foreign companies setting up a Saudi subsidiary (for example an LLC)
- Foreign companies opening a branch in Saudi Arabia, where permitted
- Foreign individuals investing in a Saudi business, where eligible
- Mixed Saudi and foreign shareholder companies
- International groups planning a Regional Headquarters in Riyadh
Documents investors usually prepare
Requirements differ by country, company type and activity. A typical parent-company pack includes:
- Commercial registration certificate of the parent company, or the equivalent
- Articles of association or constitutional documents
- Board or shareholder resolution approving the Saudi investment
- Latest financial statements, where required
- Power of attorney and authorised signatory documents
- Passport copies of partners and the proposed manager, where applicable
- Arabic translation, plus apostille or legalisation and consular attestation
Activity conditions and 100% foreign ownership
Many activities are open to full foreign ownership. Others carry conditions such as minimum Saudi participation, minimum capital or localisation commitments, some need a sector regulator's approval (for example finance, health, education, telecom or real estate), and a list of activities is excluded from foreign investment unless special approval is available.
We check the activity code and its conditions before you commit, rather than assuming one rule fits every case.
What happens after MISA registration
- Trade name reservation and articles of association
- Commercial registration (CR) and Chamber of Commerce membership
- National address and municipal licence (Balady) for premises
- ZATCA registration for VAT, Zakat or income tax
- Employer setup on GOSI, Qiwa, Mudad and Muqeem
- Visas and iqama for the general manager and staff
- Bank account opening, following the bank's own requirements
MISA registration alone does not complete company establishment. Steps and their order vary by activity, structure and location.
What a MISA license costs
Investors often ask for a single price. The total depends on the activity, legal form, government and registration fees in force, attestation costs in your home country, premises, visas and the services you choose. We provide a written quotation once we understand your case, and we never quote outcomes or approval times we cannot control.

Frequently asked questions
Is a MISA license still required in Saudi Arabia?
Foreign investors now register their investment with MISA rather than obtaining the former licence. The term 'MISA license' is still widely used for this step.
Do I need to renew my MISA registration?
Registered investors keep their information current through an annual update. Missing the update can create problems, so we track it in your compliance calendar.
Can one MISA registration cover several activities?
Under the current framework one registration can cover several eligible activities, subject to each activity's conditions.
How long does MISA registration take?
It depends mainly on how complete and correctly attested your documents are, and on MISA's processing. We give you a realistic plan for your case.
